Legal Superintendent

Job Scope: Manage all corporate legal matters to ensure that all business operations comply with applicable laws, regulations, and statutory requirements. Draft, review, analyze, and negotiate contracts, commercial agreements, Memorandums of Understanding (MoUs), Non-Disclosure Agreements (NDAs), vendor agreements, charter parties, purchase agreements, and other legal documents.

Ensure that all corporate licenses and permits related to Mining, Shipping, Mining Consulting, and Trading remain valid, complete, and compliant with government regulations. Provide legal opinions, legal advice, and strategic recommendations to the Board of Directors and all departments regarding legal risks, regulatory compliance, and business operations. Identify, assess, and mitigate legal risks that may affect the Company's operations, projects, investments, and business development activities.

Manage legal dispute resolution processes, including coordination with external legal counsel, notaries, government authorities, law enforcement agencies, and courts when required. Ensure the implementation of Good Corporate Governance (GCG) , legal compliance, and continuous monitoring of regulatory changes impacting the Company's business activities. Provide legal support and guidance to all business units on mining operations, shipping, commodity trading, procurement, investments, and strategic business partnerships.

Conduct legal due diligence for projects, investments, acquisitions, divestments, and strategic business collaborations. Manage the administration, filing, and control of all corporate legal documents to ensure systematic, secure, and traceable documentation. Establish and maintain effective relationships with government agencies, regulators, notaries, industry associations, and other external stakeholders to support the Company's business interests.

Lead, supervise, develop, and evaluate the performance of the Legal team to ensure departmental objectives are achieved and aligned with the Company's strategic goals. Job Requirements: Bachelor's Degree (S1) in Law, preferably majoring in Business Law, Civil Law, or International Law.
